DARK SECRETS: Caesars stockholders approve 6 billion merger with fertitta | Rare Historical Photos

  • Caesars Entertainment shareholders overwhelmingly approved a $17.6 billion merger with Fertitta Gaming, with over 133 million votes cast in favor and 4 million against during a vote in Reno, Nevada.
  • Under the terms of the deal first announced in May, Fertitta Gaming will pay $5.7 billion and assume nearly $12 billion of Caesars' existing debt.
  • The transaction combines Caesars' massive portfolio of nationwide casino resorts and iconic Las Vegas Strip properties with Fertitta's assets, which include the Golden Nugget and major restaurant chains.
  • Fertitta Gaming is owned by billionaire Tilman Fertitta, who stepped back from his executive roles following his confirmation as the U.S. ambassador to Italy and San Marino in April 2025.
  • If the multibillion-dollar merger clears the remaining federal antitrust review, Caesars will transition into a privately-held company, with existing shareholders receiving $31 in cash per share.
