PG&E (PGC) is on track to close meaningfully lower on Aug. 31 after Wells Fargo downgraded the utility company to “Equal Weight” and lowered its price target to $24. While analyst Shahriar Pourreza’s revised price target still implies about an 80% upside from here, the downgrade signals a pivot to a far more cautious stance.

Following today’s decline, PG&E stock is down about 30% versus its year-to-date high.

Why Wells Fargo Downgraded PG&E Stock

The primary catalyst behind Pourrezas' downgrade is the failure of the California legislature to pass meaningful wildfire liability reforms before its session concluded.

Analysts had been closely watching a proposed legislative framework backed by state leadership that aimed to restrict subrogation claims by insurance companies against utilities.

Without these key protections, PCG shares remain fully exposed to extensive third-party liability claims if its equipment causes future catastrophic blazes.

The lack of a strong legislative backstop could threaten the stability of California’s $21 billion Wildfire Fund, potentially altering the risk-reward profile for utility investors.

PG&E Shares Aren’t Attractive to Buy on the Dip

According to the Wells Fargo analyst, heightened regulatory and legal uncertainty will force a higher risk premium on PG&E shares’ valuation.

Without legislative relief, the company faces potential friction in securing low-cost financing for its massive grid hardening and undergrounding initiatives.

Pourreza noted that persistent exposure to strict liability rules under inverse condemnation could even limit management’s ability to aggressively expand buybacks or boost dividend payments.

As capital costs rise and structural risks remain unaddressed, the stock’s near-term catalysts have largely diminished, leading the firm to step to the sidelines.

Note that the selloff drove PG&E below its 200-day moving average (MA) today, indicating bears have taken back control for the longer term.

How Wall Street Recommends Playing PG&E

Heading into Aug. 31, Wall Street firms had a consensus “Strong Buy” rating on PCG stock, with a bullish mean price target of over $22.

However, it’s well within reason to expect downward revisions, much like Pourreza’s, as his peers move to bake in the California headwind in their estimates in the weeks ahead.
